Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Up n Around, including our website, mobile apps, features, content, communications, and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, Community Guidelines, Copyright Policy, Privacy Choices, Data Retention and Deletion page, Law Enforcement Guidelines, and any additional terms that apply to specific features.

If you do not agree, do not use the Service.

1. What Up n Around does

Up n Around helps people share availability, see when friends are around, float casual plan ideas, message, and coordinate real-world hangouts. The Service is a tool for social coordination. We do not control users, offline meetings, transportation, locations, events, or the conduct of people you interact with.

2. Eligibility

You must be at least 13 years old to use Up n Around. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian. You may not use the Service if you are barred from doing so by law or if we previously suspended or removed your account for violating these Terms.

3. Accounts and security

• You agree to provide accurate account information and keep it reasonably current.
• You are responsible for activity that occurs through your account.
• You must keep your credentials, device, and verification codes secure.
• You may not create accounts using false information, impersonate another person, or transfer your account without permission.
• We may require phone verification, one-time PIN codes, or other security checks.

4. Privacy and permissions

Our Privacy Policy explains how we collect, use, share, and retain information. Some features require optional device permissions, such as contacts, location, photos, camera, microphone, or notifications. If you deny or revoke permissions, some features may not work.

5. SMS program terms

Program name: Up n Around verification messages.

Program description: Up n Around sends transactional one-time PIN codes when users request phone verification, account signup, login, security, or password reset codes.

Message frequency: Message frequency varies based on your actions. Messages are sent when you request or trigger a verification or security code.

Message and data rates may apply. To opt out of SMS messages, reply STOP. For help, reply HELP or contact support@upnaround.app. Carriers are not liable for delayed or undelivered messages. SMS delivery is not guaranteed and may depend on your carrier, device, and network conditions.

6. User content

"User Content" means content you create, upload, post, send, share, or otherwise make available through the Service, including profile information, availability updates, plan broadcasts, messages, reactions, photos, reports, and other materials.

You keep ownership of your User Content. You grant Up n Around a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, adapt, publish, display, distribute, transmit, and otherwise use your User Content as reasonably necessary to operate, provide, improve, secure, moderate, and promote the Service. This license ends when your User Content is deleted from our systems, except where retention is needed for safety, legal, backup, enforcement, or legitimate operational reasons.

You represent that you have the rights needed to share your User Content and that your User Content does not violate law, third-party rights, or these Terms.

7. Audience choices and real-world interactions

You are responsible for choosing who can see your availability, location context, plan broadcasts, messages, and other content. Think carefully before sharing precise location, personal details, or plans. Up n Around does not guarantee that another user is who they claim to be, that a location is safe, or that an offline plan will happen. Use judgment, meet in safe places, and follow applicable laws and rules.

8. Community rules and prohibited conduct

Our Community Guidelines provide additional safety standards and are part of these Terms. You agree not to do, encourage, or help anyone do any of the following:

• Harass, bully, stalk, threaten, intimidate, exploit, or abuse another person.
• Post or send hateful, violent, sexually explicit, exploitative, illegal, deceptive, or otherwise objectionable content.
• Share another person's private information without permission.
• Impersonate another person, misrepresent your identity, or create deceptive accounts.
• Use the Service for spam, scams, unsolicited promotions, illegal activity, or commercial solicitation without permission.
• Upload malware, attempt phishing, scrape data, reverse engineer, overload, disrupt, or interfere with the Service.
• Bypass moderation, safety, privacy, rate-limit, or access controls.
• Use bots, automated tools, or unauthorized scripts to access or manipulate the Service.
• Infringe intellectual property, privacy, publicity, or other rights.
• Use the Service in a way that creates risk for users, Up n Around, service providers, or the public.

9. Safety tools and moderation

Users may be able to report profiles or posts, block users, remove contacts, delete posts, and delete accounts. We may review content, reports, account activity, and technical signals to enforce these Terms and protect the Service. We may remove content, limit visibility, disable features, suspend or terminate accounts, preserve information, contact law enforcement, or take other action when we believe it is appropriate.

We are not obligated to monitor all content or disputes, and we do not guarantee that every issue will be identified or resolved in a particular way.

10. Intellectual property

Up n Around, including its name, logos, designs, software, features, text, graphics, and other materials, is owned by Up n Around or its licensors and is protected by intellectual property and other laws. Except for the limited right to use the Service under these Terms, we do not grant you any ownership or license to our intellectual property. Copyright complaints are handled under our Copyright Policy.

11. Feedback

If you send ideas, suggestions, or feedback, you allow us to use them without restriction or compensation to you.

12. Third-party services and app stores

The Service may depend on third-party platforms and providers, including app stores, hosting providers, SMS providers, push notification services, maps, operating systems, and analytics or security tools. Their terms and privacy policies may also apply. We are not responsible for third-party services we do not control.

13. App license and app-store terms

If you download the app through Apple, Google, or another app store, your use of the app is also subject to that store's rules. We grant you a limited, revocable, non-exclusive, non-transferable license to use the app for personal, lawful use on devices you own or control, as allowed by these Terms and applicable app-store rules.

For apps downloaded from Apple's App Store, Apple is not a party to these Terms and is not responsible for the app, maintenance, support, product claims, legal compliance claims, or intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of the app-store-related portions of these Terms and may enforce them as permitted by law.

14. Payments, subscriptions, and paid features

Up n Around may later offer paid features, subscriptions, upgrades, paid groups, boosts, events, digital goods, or other paid products. If paid digital features are offered through a mobile app, purchases may need to be made through Apple In-App Purchase, Google Play Billing, or another required app-store billing system. Pricing, renewal terms, cancellation steps, refund rules, taxes, and trial terms will be disclosed where required before purchase.

Subscriptions may renew automatically unless canceled before renewal through the applicable app store or payment provider. Refunds are handled according to applicable law and the rules of the app store or payment provider used for the purchase. We may change paid features, pricing, eligibility, or included benefits prospectively, subject to any required notice.

15. Promotions, referrals, ads, and sponsored features

We may later offer referrals, rewards, contests, sweepstakes, promotions, sponsored content, advertising, affiliate links, or partner offers. Additional rules may apply, and any material terms or sponsorships should be disclosed where required. You may not manipulate referrals, rewards, promotions, reviews, rankings, or advertising systems.

16. Changes to the Service

We may add, change, suspend, or discontinue features, content, availability, eligibility, or the Service at any time. We may also impose limits on use or storage. We are not liable for changes, interruptions, or discontinuation of the Service.

17. Termination

You may stop using the Service at any time and may request account deletion where available. We may suspend or terminate your access, remove content, or restrict features if we believe you violated these Terms, created risk, caused possible legal exposure, or used the Service in a harmful way. Sections that by their nature should survive termination will survive, including intellectual property, user content licenses for retained content, disclaimers, limitations of liability, indemnity, dispute terms, and legal compliance provisions.

18. Beta, pre-release, and launch features

Some features may be experimental, pre-release, or available only to certain users. Beta features may change, break, disappear, or produce unexpected results. Use them at your own risk.

19. Export control and sanctions

You may not use, export, re-export, or transfer the Service except as authorized by applicable law. You may not use the Service if you are located in a country or region subject to applicable embargoes or sanctions, or if you are on a prohibited or restricted party list.

20. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, accuracy, safety, or that the Service will be uninterrupted, secure, or error-free.

We do not endorse, verify, or guarantee users, User Content, plans, messages, locations, events, recommendations, or offline interactions. You are solely responsible for your decisions and interactions through or because of the Service.

21. Limitation of liability

To the fullest extent permitted by law, Up n Around and its owners, operators, affiliates, officers, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, service interruption, personal injury, property damage, or other losses arising out of or related to the Service or these Terms.

To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to use the Service in the 12 months before the claim or (b) US $100.

22. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Up n Around and its owners, operators, affiliates, officers, employees, contractors, agents, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your User Content, your violation of these Terms, your violation of law, or your violation of another person's rights.

23. Dispute resolution

Please contact us first at support@upnaround.app so we can try to resolve any dispute informally. Include your name, contact information, a description of the dispute, and the relief you seek.

To the fullest extent permitted by law, disputes will be resolved on an individual basis and not as a class, consolidated, representative, or private attorney general action. If arbitration is enforceable for a dispute, you and Up n Around agree to binding individual arbitration, except that either party may bring qualifying claims in small claims court and either party may seek injunctive or equitable relief for misuse of intellectual property, unauthorized access, or security abuse.

You may opt out of the arbitration provision by emailing support@upnaround.app within 30 days after you first accept these Terms and stating that you opt out of arbitration. The class action waiver will remain in effect to the fullest extent permitted by law.

24. Governing law

These Terms are governed by applicable law, without regard to conflict-of-law principles. Consumer protection laws in your location may give you rights that cannot be waived. If a court or arbitrator determines that a specific jurisdiction's law must apply, that determination will control for that dispute.

25. Updates to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, such as posting an updated effective date, providing in-app notice, or sending a notice where appropriate. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

26. Miscellaneous

These Terms, together with the Privacy Policy, Community Guidelines, Copyright Policy, Privacy Choices page, Data Retention and Deletion page, Law Enforcement Guidelines, and any additional terms that apply to specific features, are the entire agreement between you and Up n Around for the Service. If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, reorganization, asset sale, or by operation of law.
